a) Notice of special meetings shall be mailed to each member at least seven (7) days
prior to such meetings:
b) Board meeting may be called by the President or by the Board of Directors upon
written application of twenty-five (25) percent of the Board. Notice including the purpose
of the meeting shall be given to each director at least one (1) day prior to said meeting;
c) Committee meetings may be called at any time by the President, respective
department vice president, or by the committee’s chairman.
Section 3: Quorums
At any duty called meeting of the chamber, fifty (50) percent of members shall
constitute a quorum; at a Board meeting, a majority of directors present shall constitute a
quorum except when a committee consists of nine (9) members. In that case, five (5)
shall constitute a quorum.
Section 4: Notice, Agenda, Minutes
Written notice of all chamber meetings must be given at least seven (7) days in
advance unless otherwise stated. An advance agenda and minutes of previous meetings
must be prepared for all meetings. A detailed outline for preparation of both shall be a
part of this organization’s procedure manual.
ARTICLE IV
Board of Directors
Section 1: Composition of the Board
The Board of Directors shall be composed of nine members. The initial election
establishing the composition of the Board shall entitle the five (5) candidates who receive
the largest number of votes to serve two-year terms and the remaining four (4) candidates
elected to the Board to serve one-year terms. At the first subsequent election, the general
membership in good standing shall vote to fill the seats previously filled by the four (4)
members holding one-year terms. The candidates elected to these seats shall serve
two-year terms.
All subsequent elections shall entitle the newly elected Board members to serve
two-year terms.
